Terms of Service

Last updated October 19, 2026 · Version 1

Last updated: [EFFECTIVE DATE] | Version: 1.0

These Terms of Service ("Terms") are an agreement between you and [LEGAL ENTITY NAME], a [corporation/sole proprietorship] registered in the Philippines with address at [REGISTERED ADDRESS] ("Jaypees", "we", "us"). They apply to the Jaypees mobile apps, the website at [WEBSITE DOMAIN], and related services (together, the "Platform").

By creating an account or using the Platform you agree to these Terms. If you do not agree, please do not use the Platform.

1. What Jaypees is (and is not)

Jaypees is an online marketplace. We help customers find and book independent skilled workers ("Workers") such as carpenters, plumbers, electricians, laundry and cleaning providers, and other trades. We also provide tools for chat, payment collection, ratings and dispute handling.

  • Jaypees is not the employer of any Worker and does not perform the services itself. The service contract for each job is between the Customer and the Worker.
  • Workers are independent contractors. They decide how, when and whether to accept a job, and they use their own tools and methods. See the Worker Agreement.
  • "Verified" means a Worker passed our identity checks described in the KYC Policy. It is not a guarantee of skill, quality, licensing, insurance or future conduct.

2. Who can use the Platform

  • You must be at least 18 years old and legally able to enter a contract under Philippine law.
  • You must provide a working Philippine mobile number. We sign you in using a one-time password (OTP) sent by SMS.
  • You must give accurate information and keep it up to date. One person may hold one account of each type (Customer, Worker) unless we agree otherwise.
  • You are responsible for everything done through your account. Do not share your OTP codes. Tell us immediately at [SUPPORT EMAIL] if you suspect unauthorised access.

3. Accounts and roles

  • Customers request and pay for services.
  • Workers offer services after completing identity verification and agreeing to the Worker Agreement.
  • We may suspend, restrict or close an account that breaches these Terms, creates risk for others, or where required by law, with notice where practicable.

4. How a booking works

  1. A Customer sends a booking request to a Worker with the job description, address, schedule and estimated hours.
  2. The Worker accepts or declines. A booking is not confirmed until it is accepted.
  3. After acceptance, the Customer pays through the Platform. Payment is collected by our payment partner and held until the job is done.
  4. The Worker starts and completes the job in the app.
  5. The Customer confirms the job to release payment. If the Customer does nothing, payment is automatically released 72 hours after the Worker marks the job completed, unless a dispute is opened within that time.
  6. The Customer may rate and review the Worker.

The price shown is based on the Worker's hourly rate and the estimated hours. If the real work will take materially longer or need materials, agree changes with the Worker in the app before proceeding. [CONFIRM: process for price adjustments and materials - not yet defined in product.]

5. Fees

  • Customers pay the booking amount shown at checkout. [CONFIRM: no separate customer service fee in launch version.]
  • Jaypees charges Workers a platform fee of 12% of the booking amount, deducted from the Worker's payout. We may change the fee on [30] days' notice; changes do not affect bookings already accepted.
  • Payment-processor charges, if any, are [absorbed by Jaypees / included in the 12% fee / passed on - CONFIRM].
  • Prices are in Philippine pesos. [CONFIRM: whether prices are VAT-inclusive and how Jaypees' fee is invoiced for tax purposes.]

6. Payments and holding of funds

  • Payments are processed by HitPay (HitPay Payment Solutions, Inc. and its partners) and may be made by methods shown at checkout, such as GCash, Maya, cards or QR Ph. HitPay's own terms and privacy policy apply to the payment itself.
  • Jaypees does not hold a bank account in your name and does not offer e-money, deposit or remittance services. Funds are collected and settled through the payment processor under our merchant account. [LAWYER: confirm that the "hold and release" flow does not make Jaypees a regulated payment/e-money operator under BSP rules (e.g., BSP Circular No. 1108 and related regulations), and decide whether structuring through a licensed provider is required.]
  • Customers authorise Jaypees to collect payment, hold it until release or refund, and pay the Worker after deducting the platform fee.
  • Do not pay or receive payment for Platform bookings outside the Platform (see Community Guidelines). Off-platform payments are not protected by our refund or dispute process.

7. Cancellations, refunds and disputes

Cancellations and refunds are governed by the Refund and Cancellation Policy. Disputes about a job must be raised in the app within the window stated there. Our decision in a dispute is made in good faith on the evidence available, and it does not take away any right you may have to go to court or to the DTI or other government agency.

8. Your responsibilities

Customers must: give accurate job details and safe access; be present or arrange for a responsible adult; treat Workers with respect; and pay through the Platform.

Workers must: provide services with reasonable skill and care, follow applicable laws, hold any licence required for the work, and follow the Worker Agreement.

Everyone must follow the Community Guidelines. In particular, do not use the Platform for anything unlawful, to harass others, to post false content, to avoid fees, or to interfere with the Platform's security.

9. Content you post

You keep ownership of the content you submit (profile text, photos, messages, reviews). You give Jaypees a non-exclusive, worldwide, royalty-free licence to host, display and use that content to run and promote the Platform, for as long as your account exists and for a reasonable time afterwards to comply with legal obligations. Reviews must be honest and based on a real booking. We may remove content that breaches these Terms.

10. Our intellectual property

The Platform, brand, logo, software and design belong to Jaypees or its licensors. We grant you a limited, revocable, non-transferable licence to use the apps for their intended purpose. You may not copy, reverse engineer, scrape or resell the Platform.

11. Third-party services

The Platform relies on third parties, such as HitPay (payments), SMS providers (OTP), cloud hosting and mapping services. We are not responsible for their acts or outages, though we select them with care.

12. Disclaimers

The Platform is provided "as is" and "as available" to the extent permitted by law. We do not guarantee that it will be uninterrupted or error-free, nor the quality, safety, legality or timeliness of any Worker's services. Nothing in these Terms removes rights you have under mandatory Philippine consumer protection law, including the Consumer Act of the Philippines (RA 7394).

13. Limits on our liability

To the extent allowed by law:

  • Jaypees is not liable for the acts, omissions, defects in workmanship, injuries, or property damage caused by a Worker or Customer in the course of a job. Claims for those should be directed to the person responsible (and any insurer).
  • Our total liability to you for any claim related to the Platform is limited to the greater of (a) the fees we received from the relevant booking, or (b) PHP [AMOUNT].
  • We are not liable for indirect or consequential losses such as lost profits or lost opportunity.
  • Nothing here limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by our own negligence, or anything that cannot lawfully be limited.

[LAWYER: confirm enforceability of the cap and exclusions under the Civil Code (e.g., Art. 1306 and 1409 on contracts contrary to law or public policy) and the Consumer Act, and whether Jaypees faces vicarious liability exposure for Workers.]

14. Indemnity

You agree to compensate Jaypees for losses and claims arising from your breach of these Terms or your unlawful conduct, to the extent allowed by law. This does not apply to consumers where prohibited by consumer-protection law.

15. Suspension and termination

You may close your account at any time in the app (Settings > Delete account) or by emailing [SUPPORT EMAIL]. Open bookings and payouts will be completed or refunded first. We may suspend or terminate accounts for breach, fraud, safety concerns, failed verification, or legal reasons. Provisions that by nature should survive (payments owed, liability, disputes, governing law) survive termination.

16. Privacy

Our handling of personal data is described in the Privacy Notice, which forms part of these Terms.

17. Electronic agreement

Under the Electronic Commerce Act (RA 8792), these Terms, your acceptance in the app, OTP confirmations and in-app notices are valid electronic documents and signatures. We may give you notices by in-app message, SMS or email to the contact details on your account.

18. Changes to these Terms

We may update these Terms. For material changes we will give at least [14] days' notice in the app or by SMS/email. Continuing to use the Platform after the effective date means you accept the update. If you disagree, close your account before the effective date.

19. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines. We encourage you to contact us first at [SUPPORT EMAIL] so we can try to resolve the issue. Unresolved disputes shall be brought exclusively before the proper courts of [CITY, e.g., Makati City / Quezon City], Philippines, [with optional mediation through the Philippine Mediation Center / DTI], without prejudice to any complaint you may file with the DTI, the National Privacy Commission, or another agency with jurisdiction. [LAWYER: confirm venue clause validity and whether to add arbitration.]

20. General

If any part of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign your rights without our consent; we may assign ours in a merger or sale. These Terms, together with the policies they refer to, are the entire agreement between you and us about the Platform.

Drafting notes for the founder and lawyer (remove before publishing)

  • Labor classification risk: The independent-contractor model is the central legal risk. Philippine courts apply the four-fold test and especially the control test (power to hire, pay wages, dismiss, and control the means and methods of work). Features such as mandatory pricing, discipline, dress codes, forced scheduling or exclusivity push toward employment. DOLE Department Order 174-17 and Article 106 of the Labor Code (labor-only contracting) are also relevant. See docs/RISKS-AND-COMPLIANCE.md.
  • Consider whether a Worker injury at a customer's home creates any exposure for Jaypees; consider insurance (see docs/RISKS-AND-COMPLIANCE.md).
  • Confirm whether Jaypees must register as an online merchant / e-commerce platform with DTI and any rules on platform operators (RA 11967, the Internet Transactions Act of 2023, imposes duties on e-marketplace operators; confirm applicability and implementing rules).
