Worker Agreement

Last updated October 19, 2026 · Version 1

Last updated: [EFFECTIVE DATE] | Version: 1.0

This Worker Agreement is between [LEGAL ENTITY NAME] ("Jaypees") and you, the individual who registers as a Worker ("you"). It supplements the Terms of Service, Privacy Notice, KYC Policy, Refund and Cancellation Policy and Community Guidelines. If they conflict about Worker matters, this Agreement prevails.

1. Independent contractor, not employee

  1. You are an independent contractor and run your own trade or business. Nothing in this Agreement creates an employment, agency, partnership or joint venture relationship between you and Jaypees, or between you and any Customer.
  2. You decide whether to join, whether to be available, which jobs to accept or decline, your hours, your service area, your categories, your rates (within any minimum/maximum shown in the app [CONFIRM: no price control at launch]), and how to do the work. Jaypees does not supervise your work, set your schedule, provide tools or uniforms, or require exclusivity. You may work for others, including competing platforms.
  3. You use your own tools, materials and (if any) helpers. You are responsible for the conduct and legality of anyone you bring. [CONFIRM: whether helpers are allowed and whether they need verification.]
  4. You are not entitled to wages, 13th-month pay, leave, overtime or employee benefits from Jaypees. You are responsible for your own taxes, SSS, PhilHealth and Pag-IBIG contributions as a self-employed person, and your own insurance. Jaypees may issue earnings statements; it does not withhold income tax unless the law requires it. [ACCOUNTANT/LAWYER: confirm BIR withholding obligations (e.g., EWT on payments to individuals) and platform-reporting rules.]
  5. The Platform's rating, verification and conduct rules exist to protect customers and the marketplace. They are not instructions on how to perform your work.

2. Eligibility and verification

You must be at least 18, have the right to work in the Philippines, hold any licence or certification legally required for your services (for example, electricians may need a PRC licence for certain work), and pass our identity verification: two valid government IDs (different types), a police clearance issued within the last 6 months (a clearance from the National Bureau of Investigation (NBI) issued within the last 6 months is accepted in its place), a resume or biodata form, and a selfie. See the KYC Policy. We may require re-verification periodically or after an incident. You consent to our processing your documents as described in the Privacy Notice. Approval is at our discretion and does not guarantee jobs.

3. Your services

  • Perform the work as described in the accepted booking with reasonable skill, care and safety, and comply with laws and any building or condominium rules.
  • Arrive on time or tell the Customer promptly through in-app chat.
  • Do not do work you are not qualified for, especially electrical, gas or structural work, if a licence or competence is required.
  • Honestly describe your skills, experience and rates. No fake reviews or false claims.
  • You are solely responsible for defects in your work. Offer to fix defects reasonably. Jaypees does not warrant your work.

4. Pricing, platform fee and payouts

  1. Your price is your hourly rate times the estimated hours. Extra work or materials must be agreed in the app first.
  2. Jaypees charges a platform fee of 12% of the booking amount, deducted from your payout. We may change the fee on [30] days' notice; accepted bookings are not affected.
  3. The Customer pays through the Platform. Funds are held until the Customer confirms completion, or automatically released 72 hours after you mark the job completed if no dispute is opened.
  4. Payouts are sent to your [GCash/bank/e-wallet] account registered with us [CONFIRM payout method and schedule, and processing fees]. You are responsible for correct payout details. Payout may be delayed for compliance checks, suspected fraud, or an open dispute.
  5. If a booking is cancelled or refunded under the Refund and Cancellation Policy, you receive no payout for it (except any compensation stated there).
  6. Taking Platform bookings off-platform to avoid the fee is prohibited. Customers lose dispute protection, and you may be suspended.
  7. Jaypees may offset amounts you owe us (such as refunded payouts after a decision against you) from future payouts.

5. Cancellations, no-shows and ratings

Repeated late cancellations, no-shows or low ratings may lead to warnings, reduced visibility or removal. These are quality and safety measures. Details are in the Refund and Cancellation Policy and Community Guidelines.

6. Conduct

You must follow the Community Guidelines. You must not discriminate, harass, threaten, steal, damage property, bring weapons, work under the influence of alcohol or drugs, or disclose Customers' personal data or home access details. Treat the Customer's address and information as confidential and use it only for the booking.

7. Safety and insurance

You are responsible for your own safety and equipment. Jaypees [does not currently provide] accident, liability or health insurance. We recommend obtaining your own cover. [CONFIRM: insurance programme in roadmap.]

8. Data protection

You will receive Customers' names, addresses and job details. You are a separate controller of that data for the booking and must keep it secure, use it only for the job, and not contact Customers for unrelated purposes or marketing. Report any data breach to [DPO EMAIL] promptly.

9. Intellectual property

You grant Jaypees a non-exclusive licence to use your name, photo, profile text, ratings and work photos you upload to operate and promote the Platform while your account is active.

10. Indemnity and liability

You are responsible for claims arising from your work, your negligence or your breach of this Agreement, and agree to compensate Jaypees for resulting losses to the extent allowed by law. Jaypees' liability to you is limited as stated in the Terms of Service, except where the law does not allow a limit.

11. Suspension and termination

You may stop using the Platform at any time after completing accepted bookings. Jaypees may suspend or deactivate you immediately for serious breach, safety risk, fraud, expired or invalid documents, or credible complaints, and with notice for other reasons. Outstanding payouts for completed and undisputed jobs will be paid after deducting amounts owed. You may appeal by emailing [SUPPORT EMAIL] within [14] days.

12. Confidentiality and non-solicitation

Do not misuse non-public information about the Platform. [OPTIONAL: no non-compete is imposed; you are free to work elsewhere.]

13. Changes

We may update this Agreement with at least [14] days' notice. Continuing to accept bookings after the effective date means you accept it.

14. Governing law and venue

Philippine law governs. Disputes will be brought in the proper courts of [CITY], Philippines, after good-faith attempts to settle, without prejudice to your right to approach DOLE, NLRC or another agency if you believe you are entitled to do so.

15. Acceptance

You accept this Agreement electronically in the app (RA 8792). Your acceptance time and version are recorded.

Drafting notes for the founder and lawyer (remove before publishing)

  • Biggest legal risk: misclassification. Philippine law looks at the actual relationship, not the label. Under the four-fold test, control over the means and methods of work is decisive. Do not impose fixed schedules, uniforms, mandatory acceptance quotas, exclusivity, penalties that function as discipline, or detailed work instructions. Quality-based deactivation, where the criteria are published and tied to safety and fraud, is more defensible than discretionary discipline. Review gig-worker developments (DOLE issuances and pending legislation on platform workers) before launch and annually.
  • Consider an opinion letter from a labor-law specialist and a documented "Contractor Independence" operating checklist.
  • Confirm tax treatment: VAT/percentage tax thresholds for workers, and BIR rules on income payments to online sellers/platform participants (RR 16-2023 on e-marketplaces and digital service providers; confirm applicability).
